PART A: GENERAL TERMS AND CONDITIONS (FOR ALL USERS)

A.1. Introduction

Welcome to Biela!
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your"), TITAN LABS DEVELOPMENT SOFTWARE LLC, Dubai, United Arab Emirates ("Company," "Biela," "Developer," "we," "us," or "our") as the developer, and TeachMeCode Institute LLC, Dubai, United Arab Emirates ("TeachMeCode," "Service Provider," "Billing Entity") as the exclusive authorized service provider and commercial distributor of Biela. By accessing, browsing, or using our website ("Site") and services ("Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and to comply with all applicable local, national, and international laws and regulations. If you do not agree with any provision of these Terms, you must immediately cease using the Site and Services. These Terms apply to all visitors, registered users, and any other individuals who access or use Biela's Services. Additional policies, such as privacy policies, cookie policies, and affiliate agreements, may apply to specific services, features, or promotions. All such policies are incorporated by reference into these Terms and are considered legally binding.

A.2. Company Structure & Authorized Partners

Biela is a product developed and owned by TITAN LABS DEVELOPMENT SOFTWARE LLC, Dubai, United Arab Emirates.
TeachMeCode Institute LLC Exclusive Authorization: TeachMeCode Institute LLC, Dubai, United Arab Emirates has been granted exclusive rights to sub-license, resell, and commercially distribute Biela Services. TeachMeCode Institute LLC is the only entity authorized to:

Resell or white-label Biela Services
Sub-license Biela's proprietary technology
Offer commercial training or certification programs related to Biela
Create derivative products based on Biela's technology
Offer Biela as a service to end clients
Issue official invoices to all Biela clients
Process and distribute all affiliate payments and commissions

This exclusive authorization exempts TeachMeCode Institute LLC from certain restrictions that apply to Users and Affiliates under these Terms. All other entities, including Affiliates, remain bound by the standard restrictions outlined in these Terms. Any inquiries regarding sub-licensing, commercial distribution, white-labeling, billing, or affiliate payments related to Biela should be directed to TeachMeCode Institute LLC at partnerships@teachmecode.institute.

A.3. Changes to Terms

Biela reserves the right to modify, update, or revise these Terms at any time, with or without prior notice, at our sole discretion. Any changes will take effect immediately upon being posted to the Site unless stated otherwise. We will update the "Last Updated" date at the top of this document to reflect any modifications. It is your responsibility to review these Terms periodically and remain informed of any changes. Continued use of the Services after modifications have been posted constitutes your acceptance of the revised Terms. If you do not agree with any amendments, you must discontinue your use of Biela's Services and close your account immediately.

A.4. License to Use Our Services

A.4.1 License Terms and Restrictions

Subject to compliance with these Terms, Biela grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services strictly for personal and commercial purposes as permitted under these Terms. This license does not grant you any rights to:

Resell, sublicense, lease, rent, or commercially exploit Biela's Services or platform itself without express written authorization from TitanLabs Development Software LLC or TeachMeCode Institute LLC. Users may freely use, modify, and monetize websites, applications, or other digital products they create using Biela's tools, but they may not represent Biela as a white-label service, claim ownership of Biela's proprietary technology, or offer Biela's Services for resale as their own product.
Copy, modify, distribute, display, or transmit any part of the Site or Services except as explicitly permitted.
Reverse engineer, decompile, disassemble, replicate, or extract the source code of Biela's proprietary software, AI models, algorithms, or infrastructure.
Engage in automated data scraping, web crawling, or any activity intended to extract information from Biela's Services without authorization.

Any unauthorized use of the Services or Site may result in immediate termination of access, legal action, and financial penalties.

A.4.2 Free Account Limitations

Biela offers free accounts subject to the following limitations:

Free accounts are limited to a maximum of 3 prompts per day.
Projects created with free accounts remain valid for only 30 days from creation.
Users may maintain only one free account at any time.
Creating multiple free accounts to circumvent these limitations is strictly prohibited and constitutes a violation of these Terms.
Users found abusing the free account system by creating multiple accounts will have all associated accounts locked immediately without prior notice.
Biela and TeachMeCode reserve the right to determine, at their sole discretion, what constitutes abuse of the free account system.
Free accounts may be subject to additional limitations or restrictions not specified here, which may be implemented at any time.

These limitations are in place to ensure fair access to our services. Users requiring additional capacity should upgrade to a paid subscription plan.

A.4.3 Prohibited Activities

The following activities are strictly prohibited when using our Services:

Attempts to create phishing sites designed to mimic legitimate businesses in order to trick users into entering sensitive information.
Using the Services for illegal activities.
Using our Services in a way that could harm other users.
Deliberately attempting to overload or crash our systems.

Engaging in any of these prohibited activities will result in immediate account termination and may lead to legal action.

A.5. Intellectual Property Rights

A.5.1 Ownership of Biela Content

All content available on the Site—including but not limited to text, images, videos, software, databases, AI-generated reports, and trademarks ("Biela Content")—is the exclusive property of Biela or its licensors and is protected by copyright, trademark, and intellectual property laws. Users own and retain full rights to any websites, applications, or digital products they create using Biela's tools. Users are free to modify, distribute, sell, or monetize their creations as they see fit, including selling or licensing them to third parties. However, this does not extend to Biela's proprietary technology, platform, or AI-generated templates, which remain the intellectual property of Biela. Any attempt to copy, distribute, modify, or commercially exploit Biela's proprietary systems, templates, or content outside the intended use of the Services is strictly prohibited and may result in termination of access and legal action.

A.5.2 User-Generated Content vs. User-Created Digital Assets

User-Generated Content: Content submitted directly to Biela's platform (e.g., comments, reviews, feedback, forum posts) grants Biela a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, distribute, modify, display, and perform such content in connection with our Services. Content Removal: Users may request removal of their submitted user-generated content by contacting support@biela.dev. Requests are subject to legal, regulatory, or operational retention requirements.User-Created Digital Assets: Websites, applications, and other digital products created by users using Biela's tools remain the full property and ownership of the user. Users retain complete control and ownership rights to monetize, distribute, or sell these assets. Biela reserves the right to remove, restrict, or modify any user-generated content that violates these Terms, infringes upon intellectual property rights, or is deemed inappropriate or harmful.

A.6. Code-Mining & Security Measures

Biela actively monitors for unauthorized access, exploitation, and mining of its proprietary source code. Any attempt to extract, copy, analyze, or reverse-engineer Biela's codebase, systems, or infrastructure without explicit written permission is strictly prohibited.

A.6.1 Immediate Termination & Legal Enforcement

Any individual, entity, or third party found engaging in unauthorized data scraping, code mining, reverse engineering, system exploitation, or cyber-attacks against Biela's platform will be subject to:

Immediate account termination and permanent bans from Biela's platform.
Civil and criminal legal action under cybersecurity laws.
Financial liability for damages, legal costs, and lost revenue caused by their actions.
Disclosure to law enforcement and regulatory bodies.

Biela employs cybersecurity measures, fraud detection, and active security monitoring to detect and prevent unauthorized activity. Violators will face the full extent of penalties permitted by law.

A.6.2 Reporting Suspicious Activity

If you suspect any user or third party is engaging in code mining, security breaches, or unauthorized access attempts, please report it immediately to support@biela.dev.

A.7. Privacy, Data Tracking & Compliance Policies

A.7.1 Privacy & Compliance

Biela is fully compliant with global data protection laws, including the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), and other applicable privacy laws. User Rights Under These Laws Include:

The right to access, correct, or delete personal data.
The right to restrict or object to certain data processing activities.
The right to receive a copy of stored personal data in a portable format.
The right to opt-out of data sales (where applicable under CCPA).

A.7.2 Security Protocols & Fraud Detection

Biela leverages fraud detection mechanisms provided by its payment processors and security partners to:

Detect malicious activity, fraudulent transactions, and policy violations.
Ensure safe interactions within the platform by monitoring suspicious behavior related to payments and account activity.

Users have the right to request a manual review of any security-related decision that affects their account status, affiliate earnings, or transaction verification. To initiate a review, contact support@biela.dev. Biela relies on third-party security providers and payment processors to assist with risk assessment and enforce fraud prevention measures. While these partners help identify potential security threats, final determinations regarding account restrictions or transaction verifications are made in accordance with Biela's policies and regulatory requirements. Users acknowledge that fraud detection mechanisms operate based on risk assessment models and that Biela is not liable for perceived inaccuracies or unintended restrictions resulting from fraud prevention measures enforced by our payment partners.

A.7.3 Cookies, Tracking, and Opt-Out Policy

Biela utilizes cookies, behavioral analytics, and device fingerprinting for fraud prevention, security monitoring, and affiliate tracking. Users may opt out of non-essential tracking via browser settings, but essential tracking for security and fraud detection cannot be disabled. Data Security Practices: All user data is encrypted in transit and at rest, and Biela follows zero-trust access protocols to prevent unauthorized exposure.

A.7.4 AI Moderation Review & Appeal Process

If an AI-driven decision impacts your account status, earnings, or access, you may request a human review within 7 business days of the decision.

Appeals will be reviewed by a compliance officer within 14 business days.
Repeated offenses may result in the loss of appeal privileges.

A.7.5 Data Retention & Account Deletion

Upon account closure, user data will be retained for up to 3 years, except where required for:

Regulatory compliance (e.g., financial records).
Legal enforcement (e.g., fraud investigations).
AI model improvement, where anonymized data may be used for security enhancements.

A.8. AI Output Disclaimer & Chargeback Protection

A.8.1 AI Output Disclaimer

Biela's AI tools and models operate based on statistical probability and existing data patterns. While we strive for accuracy, users acknowledge that AI systems may:

Produce outputs that contain inaccuracies or hallucinated content.
Generate content that differs from user expectations or intentions.
Interpret prompts differently than intended by the user.

By using Biela's AI services, users accept the inherent limitations of AI technology and acknowledge that results may vary based on input parameters, prompt clarity, and system capabilities.

A.8.2 Chargeback Protection & Dispute Resolution

Chargebacks for AI Output Quality Are Prohibited: Users expressly agree that the subjective quality, accuracy, or usefulness of AI-generated outputs (including but not limited to text generation, code completion, design suggestions, or website components) does not constitute valid grounds for payment disputes or chargebacks. Valid chargebacks are limited exclusively to:

Complete service outages preventing access to the platform.
Unauthorized charges or billing errors.
Failure to provide the service as explicitly described.

Mandatory Support Contact Before Disputes: Users agree to utilize Biela's support channels for disputes regarding AI-generated output quality before initiating chargebacks. Users must contact support@biela.dev and allow 5 business days for resolution before initiating any payment dispute. Violations of this obligation may result in account suspension or termination. Consequences for Illegitimate Chargebacks: Biela reserves the right to:

Suspend or terminate accounts of users who file illegitimate chargebacks.
Pursue recovery of chargeback fees and administrative costs incurred from illegitimate disputes.
Permanently ban users with a history of payment disputes related to AI outputs.

Users acknowledge that by accepting these terms, they waive the right to dispute charges based on subjective assessments of AI output quality or accuracy.

A.9. Additional Policies & Legal Compliance

A.9.1 Force Majeure (Acts Beyond Our Control)

Biela is not liable for delays or failures due to natural disasters, cyberattacks, government actions, power outages, internet disruptions, or third-party service failures.

A.9.2 Trademark & Brand Protection

Users are strictly prohibited from using Biela's trademarks, logos, AI reports, or branding for commercial purposes without prior written consent.

A.9.3 Geographic Restrictions & Compliance

Biela reserves the right to restrict access to users in jurisdictions where its services are not legally permitted. Biela's Services are not available in the following jurisdictions due to regulatory or security concerns:

Countries sanctioned by the U.S. Department of Treasury.
Jurisdictions where AI-based financial services are restricted.
Regions where data protection laws conflict with our policies.

A.9.4 Community Guidelines & Ethical Use

Users who engage in fraudulent activities, spread misinformation, intentionally misuse or manipulate AI-generated financial insights, forecasts, recommendations, analytics, reports, or any other AI-driven financial functionalities provided by Biela, will be subject to immediate and permanent account termination, forfeiture of any associated benefits, and potential legal action.

A.9.5 Consequences of Violations & Legal Action

Any user who violates these Terms, including engaging in fraud, hacking, unauthorized AI model analysis, or data scraping, agrees to compensate Biela for damages resulting from such violations. Biela may seek:

Financial restitution for damages caused by unauthorized activities.
Injunctive relief to prevent further harm to Biela's business.
Third-party reporting to law enforcement, regulatory agencies, and international fraud prevention networks.

A.9.6 No Warranty & Service Availability

Biela provides its Services, AI-driven insights, algorithms, and trading analytics on an "AS-IS" and "AS-AVAILABLE" basis, without any warranties, express or implied.

No Guarantee of Service Availability: Biela does not guarantee uninterrupted access to its platform. Service outages may occur due to server failures, software bugs, cyberattacks, third-party API failures, or force majeure events.
No Warranty on AI Performance: Biela's AI models and financial insights are predictive tools only and do not constitute financial, legal, or investment advice. Users acknowledge that AI decisions are statistical in nature and may not be 100% accurate.
No Liability for Financial Losses: Users assume all risks when using Biela's AI-generated financial data, affiliate services, or platform analytics. Biela is not responsible for any direct or indirect financial losses caused by reliance on AI insights, data inaccuracies, or decision-making errors.
Third-Party Services Disclaimer: Some platform features rely on third-party APIs, external payment processors, or financial data providers. Biela is not liable for service disruptions, errors, or inaccuracies arising from these third-party integrations.

A.9.7 Arbitration & Governing Law

Any disputes arising from these Terms shall be resolved through binding arbitration under the laws of Dubai, United Arab Emirates, with arbitration conducted by one of the authorized arbitration institutions in United Arab Emirates, Dubai.

Class action lawsuits are strictly prohibited—users must pursue claims individually.
If arbitration is deemed unenforceable, disputes shall be settled in the courts of Dubai, United Arab Emirates.
Each party shall bear its own legal costs unless the arbitration ruling states otherwise.
The ruling shall be final and binding, enforceable in any jurisdiction where the losing party operates.

A.9.8 User Conduct & Platform Abuse

Users may not engage in the following prohibited activities:

Affiliate fraud - Using fake accounts to manipulate affiliate earnings.
Misinformation - Spreading false claims about Biela's AI models or services.
Security evasion - Using VPNs, bots, or automation to bypass security restrictions.
False chargebacks - Disputing valid transactions in bad faith.

PART B: AFFILIATE TERMS AND CONDITIONS (FOR AFFILIATES ONLY)

B.1. Introduction to Affiliate Program

This section serves as the official Affiliate Terms and Conditions for the Biela Affiliate Program ("Program"). It outlines the rights, responsibilities, and expectations for participating affiliates. By signing up for Biela, customers are automatically provided with an affiliate link. Participation in the affiliate program is optional, and customers may choose to use or ignore their affiliate link at their discretion. Affiliate Structure Clarification: Affiliates earn commissions solely through direct referrals. The Affiliate Program does not provide multi-level or recruitment-based earnings. This is strictly a single-tier affiliate marketing model.

B.2. Definitions

Affiliate - Any individual or business entity provided an affiliate link upon signing up for Biela.
Affiliate Program - Biela's official referral-based program.
Affiliate Link - A unique tracking URL assigned to users upon signup.
Customer - An individual or business purchasing using an Affiliate Link.
Referral - A Customer who visits Biela through an Affiliate Link.
Commission - Percentage of sales earned by the Affiliate.
Commissionable Value - The portion of a sale eligible for commission calculation, typically 50% of the total sale price.
Abandoned Affiliate Account - An account inactive for 12 months or without referral activity for 6 months.
Confidential Information - Non-public Company information, including program details, analytics, and commission structures.
Stars - A points-based reward system for affiliate engagement and sales with no monetary value.
Fraud Prevention Hold (FPH) - A temporary hold applied to commissions earned through PayPal and Credit Card transactions to verify transaction authenticity, typically lasting 7-14 days but it can vary if the third party payment processors decide so.

B.3. Independent Contractor Relationship

Affiliates participating in the Program are independent contractors and not employees, agents, or representatives of the Company. Nothing creates any partnership, joint venture, employment, or franchise relationship. Affiliates must not:

Represent themselves as Company employees or partners.
Enter agreements or negotiations on behalf of the Company.
Misuse Company branding or represent false affiliations.

Violations will result in immediate account termination, commission forfeiture, and possible legal action.

B.4. Non-Exclusivity

This Agreement does not create an exclusive relationship:

Affiliates may promote other companies and products.
The Company may partner with multiple affiliates without restriction.

B.5. Participation Requirements

To participate, affiliates must:

Be at least 18 years old.
Provide complete and accurate details.
Adhere strictly to marketing and compliance guidelines.

B.6. Affiliate Program Structure & Non-MLM Declaration

The BIELA Affiliate Program is strictly a single-tier affiliate marketing model. Affiliates earn commissions exclusively from direct referrals and personal sales. Teams are purely for engagement and unlocking commission boosts collectively. Affiliates' commissions are determined solely by their own sales performance, with no earnings from recruitment or indirect activities. The program does not:

Pay commissions for recruiting other affiliates
Create downline structures or multi-level compensation
Provide earnings from the sales of other affiliates
Require recruitment of others to earn substantial commissions

B.7. Genesis Pool Revenue Sharing Clarification

The Genesis Pool is an incentive funded by BIELA's revenues (5% of total platform turnover, explicitly excluding first sales including those for which affiliates received a 50% first-sale commission). Affiliates receive shares based on individual direct performance metrics only, explicitly excluding first transaction of a new user. The Genesis Pool does not include any earnings based on recruitment or the performance of other affiliates. The Genesis Pool resets on the last day of each calendar month at 12:00 PM CET. All accumulated rewards from the preceding month will be distributed automatically to qualifying affiliates within 24 hours following the reset, subject to server processing capabilities. No Genesis Pool rewards carry over between monthly periods. The qualification period for each month's Genesis Pool begins immediately following the previous month's reset.

B.8. Commissions & Payment Terms

B.8.1 Earning Commission and Stars

Affiliates earn commissions exclusively from their direct referrals and associated sales. Commissions are calculated based on a predefined percentage of the Commissionable Value, typically 50% of the sale price of the selected package. In addition to monetary commissions, affiliates can accumulate Stars, an internal points system that enhances their earning potential through various engagement activities such as, but not limited to:

New Registrations: Affiliates earn 10 stars for each new user registration until April 15, 2025.
Package Sales: Earn Stars equal to 10% of the sale value of any package sold.
Genesis Pool Earnings: Affiliates receive 1 star for every $1 earned from the Genesis Pool.
Genesis Pool Qualification: Receive a one-time 50-star bonus upon every qualification for the Genesis Pool.

Additional opportunities to earn stars include:

Completing your affiliate profile: 10 stars
Joining the official Telegram group: 10 stars
Attending designated Zoom calls (with valid participation code): 20 stars
Performing daily tasks (e.g., sharing promotional content, participating in challenges): 1 star per task

Stars can be strategically utilized to activate temporary Commission and Stars Boosts, increasing your commission rate and star earning rate for the current month. Boost details are transparently outlined within your affiliate dashboard, including required star amounts, boost levels, and benefits. Important: Stars have no monetary value and cannot be exchanged or withdrawn as cash.

B.8.2 Fraud Prevention Hold & Withdrawal Terms

To protect both affiliates and Biela from potential fraudulent transactions, certain commissions may be temporarily subject to a Fraud Prevention Hold (FPH). The specific hold duration varies by the payment method used by the customer to purchase the service:

Crypto Payments: Commissions earned from sales paid via cryptocurrencies are instantly available for withdrawal, with no hold period.
PayPal, Credit Card, or other Payment Methods: Commissions earned through PayPal, Credit Card, or other traditional payment methods will typically be placed under Fraud Prevention Hold according to the these agreed terms and conditions, clearly indicated by a real-time countdown timer visible in your affiliate dashboard.

Withdrawal Process & Fees:

Instant Withdrawals: Commissions earned through Crypto payments are available immediately, without any hold period.
Standard Withdrawals: Commissions from PayPal, Bank Transfers, and Credit Card payments become available for withdrawal once the Fraud Prevention Hold period expires.

Withdrawal Methods Available:

Crypto Wallet transfers (Instant availability after earnings are cleared)
Bank Transfer (processed bi-weekly)
PayPal Transfer (processed bi-weekly upon API updates)

Withdrawal Fees:

Each withdrawal transaction is subject to a 4% fee, clearly displayed during the withdrawal process.
Crypto withdrawals incur a lower fee of 2% due to reduced processing costs.

Important Notes:

Commission Expiry: Commissions not withdrawn within 6 months will be permanently forfeited due to inactivity.
Account Inactivity: Affiliates with no account activity (no logins, sales, or referrals) for 12 consecutive months will forfeit accrued commissions. Reinstatement is possible at the Company’s discretion.
Transparency Commitment: Withdrawal restrictions, including Fraud Prevention Hold countdowns, will always be transparently and clearly displayed within the affiliate dashboard to ensure affiliates can effectively plan and manage their earnings.

B.9. Affiliate Marketing Compliance

Affiliates must comply with all applicable advertising laws, including CAN-SPAM, GDPR, and regional regulations. Avoid deceptive claims, exaggerated earnings, guarantees, or misleading promotions.Required Disclosures: Affiliates must explicitly disclose their relationship with Biela in all advertising and promotional activities clearly and conspicuously, as required by FTC and GDPR guidelines. This includes using phrases such as "affiliate link," "paid partnership," or "I may earn a commission" on all promotional content. Prohibited promotional practices include:

Making income guarantees or unrealistic earnings claims
Using misleading before/after scenarios
Claiming special advantages or insider knowledge
False urgency or scarcity tactics
Implying official endorsement from Biela beyond affiliate status

B.10. Stars Program Clarification

Stars are purely internal incentives for engagement and unlocking affiliate features. They hold no monetary value and cannot be exchanged for cash, cryptocurrencies, or other forms of currency. Stars are used solely for gamification, engagement tracking, and unlocking affiliate dashboard features.

B.11. Chargebacks & Fraud

Commissions from disputed, fraudulent, or refunded transactions will be revoked. Affiliates involved in fraud face termination, commission forfeiture, and legal action.

B.12. Tax & Earnings Reporting Obligations

Tax Advice Disclaimer: Affiliates bear sole responsibility for reporting earnings and filing taxes according to their local jurisdiction. Biela provides payment receipts detailing commissions earned but does not disclose personal customer information. Biela does not provide financial or tax advice; affiliates should consult qualified tax professionals regarding their obligations.

B.13. Confidentiality & Data Privacy

Affiliates must not externally disclose, improperly store, or misuse confidential information. Affiliates are prohibited from:

Sharing non-public commission rates or structures
Disclosing internal program metrics or performance data
Using customer data for purposes outside Biela promotion
Storing customer information in insecure environments

Affiliate Dashboard Confidentiality: Affiliates must treat all performance metrics, financial data, and customer insights accessed via their affiliate dashboard as strictly confidential. Unauthorized sharing or publication of dashboard information is prohibited and subject to termination and potential legal action. Violations of confidentiality may result in immediate program termination and potential legal liability.

B.14. Dispute Resolution for Affiliates

Affiliates waive rights to lawsuits or class actions against the Company. Disputes require binding arbitration within 7 days. The Company's arbitration decision is final.

B.15. Audits & Investigations

The Company actively audits affiliate activities. Affiliates must provide requested compliance documentation within 14 days. Non-compliance consequences include program removal and commission forfeiture.

B.16. Termination Policy & Recovery

The Company may terminate affiliates for fraud, self-referrals, commission manipulation, or deceptive advertising. Consequences include commission forfeiture, permanent bans, and potential legal actions.
